("AB") furnished the Exchange on March 11, 1998 a copy of SEC Form 34-A, filed with the Securities and Exchange Commission, in connection with its Annual Meeting of Stockholders which will be held on May 22, 1998 at the 18th Floor, Conference Room, Aurora Tower, Araneta Center, Cubao, Quezon City at 4:00 p.m. The meeting is being held for the following purposes: 1. To elect a Board Directors to hold office until the next annual meeting of stockholders or until their respective successors have been elected or appointed. 2. To ratify the board resolutions reamending the Amended By-Laws as follows: 2.A. Changing the date of the Annual Meeting of the Stockholders from the last Thursday of February in each year to third Friday of May; 2.B. Changing the fiscal year of the corporation from Oct. 1 to Sept. 30 to Calendar Year; 2.C. Changing the seal of the corporation by changing the words Atok-Big Wedge Mining Co., Inc. to Atok-Big Wedge Co., Inc. 3. To ratify the appointment of the accounting firm of Tulio, Lim, Evangelista and Co., Inc. as independent auditors of the Company for the current year; and 4. To transact such other business as may properly come before the meeting or any adjournment or postponement thereof. Stockholders of record on the books of the company at the close of business on April 30, 1998 will be entitled to vote at the meeting.
