(the "Corporation") at 10:00 a.m. on 11 February 2000, at which a quorum was present and acting throughout, the Board unanimously approved and adopted. the following: 1. the resignation of Ms. Corazon P. Guidote as member of the Board of Directors; LibLex 2. the election of Mr. Ricardo S. Pascua as member of the Board of Directors to serve for the unexpired term of Ms. Guidote; 3. the appointment of Mr. Ricardo S. Pascua as Vice-Chairman of the Board of Directors of the Corporation in view of his recent appointment as Chairman and CEO of Metro Pacific Corp., parent company of the Corporation.
