(the "Corporation") at 10:00 a.m. on 11 February 2000, at which a quorum was present and acting throughout, the Board unanimously approved a resolution to call the annual stockholders' meeting of the Corporation on 28 April 2000 with record date for the determination of the stockholders entitled to notice and vote at the annual meeting set on 29 March 2000.
