Isabel Garcia OIC, Listings & Disclosure Group Gentlemen: Please be advised that in a Special .Meeting of the Board of Directors of ANGLO PHILIPPINE HOLDINGS CORPORATION (the "Company") held today, 21 December 1999, starting at 1:30 p.m., and in which meeting all eleven (11) directors of the Company were present in person and acted throughout, the following resolution was passed and approved: "RESOLVED, as it is hereby resolved to authorize the Company's Management to explore opportunities, evaluate proposals, negotiate terms and conditions and, generally, to do any and all things as may be necessary to maximize benefits from the Company's investments in the Metro Rail Transit III project."
