Buenaventura Supervisor, Disclosure Department Gentlemen: Please be informed that at the meeting of the Board of Directors held today, 16 December 1999 at which a quorum existed, the board discussed and approved the following: prcd 1. APPROVAL OF ACQUISITION OF THE ENTIRE CAPITAL STOCK OF BEST WORLD GAMING & ENTERTAINMENT CORPORATION IN EXCHANGE FOR SHARES OF THE COMPANY . 1.1 The Board decided to approve the acquisition of the 525,250,000 shares of Best World Gaming & Entertainment Corp. or Best World Gaming and Entertainment Corp.'s entire capital stock in exchange for 822,961,824 shares of BW Resource Corporation. llcd 1.2 Best World Gaming & Entertainment Corp is the holder of an exclusive Grant of Authority from Philippine Amusement & Gaming Corporation to conduct a nationwide On-line Bingo games. 1.3 The Board authorized its President, Eduardo G. Lim, Jr. to sign the Agreement on this acquisition llcd 2. STATUS REPORT ON RIGHTLAND PROPERTY ACQUISITION 2.1 The President, Eduardo G.
