Manager Disclosure Department Gentlemen: Please be informed that the Share Purchase Agreement ("SPA") for the sale/acquisition of all outstanding shares of stock of Mapua Institute of Technology, Inc. ("MIT") has been signed today, 10 December 1999 by and among Petrofields Corporation, other companies in the Yuchengco Group and MIT stockholders. The SPA provides for the terms and conditions prior to the actual signing of the Deed of Sale scheduled not later than 29 December 1999 or any other date agreed upon by the parties.
