December 10, 1999 PSE CIRCULAR FOR BROKERS NO. 3160-99 The Philippine Stock Exchange Listing and Disclosure Group 4/F, Philippine Stock Exchange Centre Exchange Road, Ortigas Center Pasig City Attention: Ms . Luisa W . Buenaventura Supervisor, Disclosure Department Ladies and Gentlemen: We refer to your fax letter requesting for written confirmation/clarification of the news article entitled "SEC asked to stop PLDT special stockholders meet", published in today's issue of the Philippine Daily Inquirer, which reported that a certain Atty. Victor Fernandez of the Fernandez Pacheco and Dizon law offices has asked the SEC to stop the special stockholders' meeting scheduled for today, citing concerns that foreigners are set to acquire over 40 percent of PLDT. We advise that the Company has not formally received any notice or copy of the alleged petition filed by lawyer Victor Fernandez nor any order from the SEC to stop the special stockholders' meeting.
