Gentlemen: On November 25, 1999, the Securities and Exchange Commission approved the amendment of Article 6 of the Amended Articles of Incorporation of Wise Holdings, Inc. increasing the number of directors from nine (9) to eleven (11). During the stockholders' meeting held on October 22, 1999, Messrs. Juliano Lim and Rolando K.
