February 9, 2000 PSE CIRCULAR FOR BROKERS NO. 303-00 SUBJECT : Alcorn Petroleum and Minerals Corporation Alcorn Petroleum and Minerals Corporation ("APM") informed the Exchange that the Securities and Exchange Commission (SEC) approved on January 13, 2000 its Amended Articles of Incorporation, reflecting the following: 1. Change in name from Alcorn Petroleum and Minerals Corporation to Alcorn Gold Resources Corporation (Article I); 2. Change in Primary Purpose from an oil and mineral exploration and development corporation to a holding company; further amending its Secondary Purpose to include the Present Primary Purpose of oil and mineral exploration and development and related energy activities as one of the Secondary Purposes and engage in said Secondary Purpose (Article II); 3. Declassification of its shares of stock from Class "A" and Class "B" into all common shares and removing pre-emptive rights on any increase in the capital stock (Article VII). With regard to the status of its old stock certificates, APM informed the Exchange that the following procedures are being done in coordination with its Transfer Agent, RCBC: ". . . Firstly, a new stock certificate exhibiting the changes is being finalized. These changes are the name of the company and the classification of the shares. It is the company's plan to keep the current stock certificates valid. Once the new stock certificates are ready they will be exchanged when submitted to our transfer agent. We are consulting with our Stock Transfer Agent on how the procedures will take effect and how we will accomplish in detail the conversion of the old stock certificates into the new ones. We will be advising our shareholders individually of the procedures to be taken when changing their stock certificates. . . ." In view thereof, the change in name of the Corporation to Alcorn Gold Resources Corporation , the change in its sector to Holding Firms, as well as the declassification of the Corporation's shares will be reflected in the Exchange's computer system (electronic board and ticker) on Friday, February 11, 2000 .
