November 22, 1999 PSE CIRCULAR FOR BROKERS NO. 2974-99 19 November 1999 PHILIPPINE STOCK EXCHANGE PSE Center, Exchange Road Ortigas Center, Pasig City Attention: Disclosure Department Listings and Disclosure Group Gentlemen: Please be advised that the Board of Directors of KEPPEL PHILIPPINES HOLDINGS, INC. (KPHI) in its meeting today (19 November 1999) at 11:00 a.m. at Unit 3-C Country Space I Building, Sen. Gil J. Puyat Ave., Salcedo Village, Makati City, had discussed/approved the following matters: prcd 1. The Board of Directors accepted the resignation of Mr. Loh Wing Siew as Chairman and Director of the Company, effective 19 November 1999. Mr. Teo Soon Hoe was elected as Chairman and Mr. Charles Foo Chee Lee as Director, effective immediately. 2. The Board of Directors accepted the resignation of Atty. Pedro A. Aquino, Jr. as Director of the Company. He was replaced by Mr. Isidro H. Protasio as Director, effective immediately. cdll 3. The Board approved Management's proposal to increase the amount allocated for the re-purchase of Company's shares (buy-back program) from Five Million Pesos (P5,000,000.00) to Fifteen Million Pesos (P15,000,000.00) We trust that the above disclosures comply with the rules and regulations of the Exchange.
