Gentlemen: Please be advised that North Harbor Management and Development Corporation ("NHMDC") (60% of the outstanding capital stock of which is owned by William, Gothong & Aboitiz, Inc., and which is affiliated with Domestic Shipping Lines using the North Harbor facilities, together with International Container Terminal Services, Inc. ("ICTSI"), and signed a Joint Venture Agreement and have agreed to establish a joint venture corporation which will offer an unsolicited proposal to the Philippine Ports Authority (PPA) for the rehabilitation, development, management and operation of the North Harbor Under the Build-Operate-and-Transfer (BOT) law.
