FROM : The Corporate Secretary SUBJECT : Special Stockholders' Meeting March 27, 1998 Please be informed that there will be a Special Stockholders' Meeting of Far Eastern University on Friday, March 27, 1998 at 3:00 P.M. to be held at the Board Conference Room, 3rd Floor, Administration Building, Nicanor Reyes, Sr. Street, Manila to consider the following: 1) The proposed increase of capital stock from P80,000,000.00 to P300,000,000.00 divided into 3,000,000 shares with a par value of P100.00 per share; 2) Ratification of 200% Stock Dividend declared in connection with the said increase in capital stock; 3) Amendment of Article Seventh of the Articles of Incorporation to reflect the above increase in capital stock. For the purpose of this meeting, the transfer book of the corporation will be closed from March 17 to March 26, 1998, both dates inclusive, in accordance with Section XI of the By-Laws.
