November 4, 1999 PSE CIRCULAR FOR BROKERS NO. 2818-99 SUBJECT : Megaworld Corporation Additional Listing The Exchange approved on October 13, 1999 the listing application of MEGAWORLD CORPORATION to list additional 2,653,225,807common shares , with par value of P1 . 00 per share , divided into the following: 1. 1,000,000,000 common shares, to cover the underlying shares of 1,000,000,000 convertible Series "A" preferred shares issued to The Andresons Group, Inc. ("TAGI") on January 1, 1997. Said preferred shares were fully-converted on April 28, 1999; 2. 1,250,000,000 common shares, to cover two (2) private placements of TAGI on May 8, 1998 and June 30, 1999 both at a subscription price of P1.00 per share; and 3. 403,225,807 common shares, to cover the private placement of Colony Investors III, L.P. on July 16, 1999 at a subscription price of P2.48 per share. In view thereof, the listing of 1,653,225,807 common shares to cover the various private placements is set for Monday, November 8, 1999 , while the listing of 1,000,000,000 common shares to cover the underlying shares of the 1,000,000,000 convertible Series "A" preferred shares is set for Friday, November 5, 1999 .
