(the "Corporation") approved and adopted on October 19, 1999, the Corporation has executed a Deed of Assignment in favor of CICI General Insurance Corporation {the "Assignee") whereby the Corporation's insurance business and related assets have been transferred, assigned and conveyed to the Assignee. The assignment is in accordance with the earlier decision of the Corporation to change its primary purpose from that of a non-life insurance company to that of an investment holding company.
