February 7, 2000 PSE CIRCULAR FOR BROKERS NO. 273-00 SUBJECT : Uniwide Holdings, Inc . Uniwide Holdings, Inc. ("UW") advised the Exchange that on February 5, 2000, the Casino Group, a leading French retailer, has entered into an agreement with the Uniwide Group of Companies, with the endorsement of the Interim Receivership Committee appointed by the Securities and Exchange Commission (SEC), to purchase a controlling stake in the warehouse club operations of Uniwide. Attached is a copy of the disclosure statement of both parties. In connection with this, UW requested for suspension of trading of its securities, to enable the parties to finalize the transaction without having to consider the impact of negotiations on the market price of its shares. In view of the foregoing, the Exchange has granted UW's request for voluntary suspension effective today, February 7, 2000, pending further advice on the said agreement. For your information. (SGD.) GARCIA OIC, Listings and Disclosure Group ANNEX C-JOINT DISCLOSURE STATEMENT Paris February 4, 2000 The Casino Group has entered into an agreement with the Uniwide Group with the endorsement of the Interim Receivership Committee appointed by the Securities and Exchange Commission of the Philippine (SEC), to purchase a controlling stake in the hypermarket operations of this leading Filipino retailer. Uniwide, controlled by the Gow family, filed for a "Suspension of Payments" under the suspices of the SEC on June 28 , 1999 when the company failed to meet its payment obligations to creditors. On October 18 , 1999 Uniwide submitted its Rehabilitation Plan to the SEC. The Philippine with its population of over 78 million inhabitants and rising GDP prospects in the context of a rebound of the Asian economics, presents an attractive market which until now has been closed to foreign retailers. With the soon to be enacted amendments to the Retail Trade Law allowing the entry of foreign investors, Casino will become the leading retailer in the country. As one of its conditions for the Investment, Casino requires that Uniwide's hypermarket operations and its related assets be restructed and transferred free of financial debt. The operations to be purchased include 10 hypermarkets (8 of which are located in Metro Manila) with an average selling area of 10,000 square meters, 1 distribution centro and 5 landbanks for future expansion. The enterprise value of the operations has been fixed at PHP 4 billion. The forecast sales in 2001, after restructuring, should be at least PHP 12 billion for the 10 stores, which will approach the sales of 1997 of PHP 14.6 billion realized during the last year of normal operations. In addition, following the investment by Casino, the company will invest approximately PHP 1 billion in the first two years for store refurbishment and improvements. Casino will associate itself with a local partner to accelerate the development of the hypermarket operations. The existing management will remain in place, while Casino will bring specific retailing expertise as appropriate. This agreement is subject to specified conditions, in particular the approval and implementation of a revised Rehabilitation Plan by the SEC. Casino anticipates that the transaction will be closed in the second-half of this year.
