De Guia Listing and Disclosure Group Gentlemen: Please be informed that during the Meeting of the Board of Directors of Union Bank of the Philippines ("UBP") held on October 22, 1999, our Ramcar Group Nominee Directors Jacob U. Tagorda, Jr. and Ramon C Agustines resigned from the Board effective immediately in view of the divestment of Ramcars' holdings in UBP. The Board accepted with regrets said resignations. As a consequence of the vacancy, the Board elected MR. JUAN ANTONIO E. BERNAD as an Aboitiz nominee and SSS Commissioner RAFAEL ESTRADA, JR. as additional SSS nominee in the Board ,to fill-up the vacancy and serve the unexpired term of the seats vacated by the resigning directors.
