Indicate the item numbers reported herein: Item No. 9 (B) The Board of Directors of the registrant, during their meeting held on 25 November 1998, passed a resolution fixing 27 January 1999 as the date of the holding of the annual meeting of the stockholders of the Corporation pursuant to its By-Laws as well as 31 December 1998 at the record date for purposes of the said meeting. The Board likewise authorized the closure of the stock & transfer for a period of fifteen (15) days commencing from 1 January until 15 January 1999. The Board of Directors of the registrant also authorized the award/conveyance of its five (5) hectare residential lot located in Biliran, Nasugbu, Batangas in favor of its qualified employees to be used for their housing needs. The Board of Directors of the registrant also authorized the Corporation to spin-off its five (5) hectares residential lot to be developed as the site of a housing project for its qualified workers. 12. Impact on the registrant's current and future operations, its financial position or results of operation In the opinion of the registrant, the conveyance of its above mentioned lot for housing purposes in favor of its employees would bring about more harmonious relation between the registrant and the employees, bring about more determination and dedication to work from said employees in which in the end would greatly improve its future operations.
