Gentlemen: Please be advised that at the meeting of the Board of Directors of Itogon-Suyoc Mines, Inc. (the "Corporation") held this morning, the Board of Directors of the Corporation approved the following resolutions: 1. Conformity to the letter of the Philippine Stock Exchange, Inc. dated September 29, 1999 approving the debt-to-equity conversion listing; and 2. Authority to enter into a Data Review and Evaluation Agreement with Dalton Pacific Resources for the conduct of a data review and evaluation of the Itogon and Suyoc areas.
