Ruben Almadro Vice-President Compliance and Surveillance Department Gentlemen: In response to your query concerning the unusual movement of the share price of Atlas Fertilizer Corporation ("the Corporation") shares during the trading hours on 7 October 1999, we advise that aside from the disclosure made by the Corporation on 6 October 1999 regarding the acquisition by the Corporation of the entire outstanding capital stock of AB Leisure in exchange for new shares of the capital stock of AFC and the resolution by the Corporation's Board to issue additional 300 million shares by way of private placement, the Corporation is unaware of any other information that may affect the value and trading of its securities.
