October 7, 1999 PSE CIRCULAR FOR BROKERS NO. 2547-99 SUBJECT : Atlas Fertilizer Corporation Further to Circular No. 2537-99 dated October 6, 1999 relative to Atlas Fertilizer Corporation's ("FER") acquisition of AB Leisure Exponent, Inc. ("AB Leisure"), FER furnished the Exchange a copy of the following: 1. Share Purchase Agreement by and between Paul Luis P. Alejandrino, Alfredo B. Benitez, Dominique L. Benitez and Henry T. Sy, on one hand, and FER, on the other hand, dated October 5, 1999; 2. Share Purchase Agreement by and between Zoraymee Holdings, Inc. and FER dated October 5, 1999; 3. Corporate Background of AB Leisure; and 4. Audited financial statements of AB Leisure for the year ended December 31, 1998. LibLex A copy of the aforementioned documents is available for reference at the PSE Centre and PSE-Plaza Libraries.
