February 2, 2000 PSE CIRCULAR FOR BROKERS NO. 248-00 SUBJECT : A Brown Company, Inc . Further to Circular for Brokers No. 86-2000 dated January 14, 2000, A Brown Company, Inc. ("BRN") furnished the Exchange a copy of its SEC Form 34-C (Definitive Information Statement), in connection with its Special Stockholders' Meeting which will be held on February 15, 2000, at 2:30 p.m. at the Valley Golf Country Club Inc., Antipolo City. The agenda for the meeting shall be as follows: 1. Call to Order; 2. Certification of Notice and Quorum; 3. Approval of the proposal for the incorporation of a subsidiary corporation; 4. Approval of the proposal to sell the trademarks and trade names of the chemical products and all other operating assets of the chemical division of A Brown Company, Inc. to the subsidiary to be incorporated; 5. Authorize the Board of Directors to negotiate and enter into an agreement with a third party regarding the sale of the shares of stock of the subsidiary to be incorporated; 6. Approval of the proposal to mortgage certain real properties of the Corporation to secure the obligations of the subsidiary to be incorporated (item #3) or of another corporation as a result of the sale of shares of stock of the aforementioned subsidiary, provided that the mortgage is done as part of the sale of the shares of such subsidiary (item #5); 7. Approval of the dacion en pago of some of the real properties of the Corporation located in Cagayan De Oro in favor of Landbank of the Philippines; 8. Approval of the restructuring of existing loan obligations with Solidbank Corporation and the mortgage of certain real and personal properties of the Corporation to secure the loan obligations; and 9. Adjournment Only stockholders of record as of December 31, 1999 are entitled to notice of, and to vote at, said meeting.
