("EVER") Gentlemen : In compliance with the Full Disclosure Rules, please be informed that the undersigned was furnished with a photo-copy of a letter dated October 14, 1998 sent by the Philippine National Bank to Gotesco Tyan Ming Development, Inc. ("GTMDI") a fully owned subsidiary of EVER, that the Syndicate-Member Banks, by unanimous decision, did not extend the Memorandum of Agreement which expired on September 7, 1998 relative to the Syndicated Loan granted by the aforecited Syndicate-Member Banks to GTMDI.
