(the "Company"), which, under the Company's By-laws, is scheduled on the last Tuesday of October or on October 27, 1998, has been postponed to give the Company more time to prepare for the additional matters which may have to be presented to the shareholders. These additional matters have not yet been finalized, and are still under discussion.
