Mini-Theater, PNOC Bldg 6, Energy Center, Merritt Road, Fort Bonifacio, Taguig, Metro Manila, the following were acted upon by the stockholders, to wit: 1. The June 9, 1998 Minutes of the Stockholders Meeting was APPROVED ; 2. All Management acts and proceedings since the last Stockholders Meeting were RATIFIED ; 3. The following were NOMINATED and ELECTED as Directors of PNOC EC: a) Ramon V. Mitra b) -Rufino B. Bomasang c) Jose M Asistio d) Augusto B. Catindig e) Rafael G. Mangubat f) Lourdes Ll. Pimentel g) Luis P. Poblete h) Pedro T. Santos i) Telesforo A. Unas 4. Conversion of PNOC-EC's PHP 152 million loan drawdowns from PNOC into equity in favor of PNOC was APPROVED .
