August 31, 1999 PSE CIRCULAR FOR BROKERS NO. 2163-99 SUBJECT : F&J Prince Holdings Corporation F&J Prince Holdings Corporation ("FJP") furnished the Exchange a copy of its amended SEC Form 11-A/Annual Report for the fiscal year ended December 31, 1998 with the following amendments: Re : Item 5, Market for Issuer's Common Equity and Related Stockholders Matters The following information was included: ''As of 31 December 1998, there are 605 holders of Class "A" shares and 87 holders of Class "B" of the Registrant." Re : Item 6, Management's Discussion and Analysis of Operations A discussion on the financial condition and results of operations for the fiscal years 1996 and 1997 has been included. Further, the Statement of Management Responsibility for Financial Statements, duly signed by the President and the Chief Financial Officer is attached to the said report.
