September 9, 1998 PSE CIRCULAR FOR BROKERS NO. 2105-98 SUBJECT : Concrete Aggregates Corporation Further to Circular No. 1860-98 dated August 10, 1998, Concrete Aggregates Corporation ("CA") furnished the Exchange on September 8, 1998 a copy of SEC Form 34-C (Definitive Information Statement) in connection with its Special Stockholders' Meeting which will be held on September 29, 1998 , at 8:30 a.m., at the Board Room, Ortigas & Co. Ltd. Partnership, Ortigas Building, Ortigas Avenue, Pasig City. The agenda for the meeting shall be as follows: 1. Call to order 2. Proof of the Required Notice of Meeting 3. Proof of the Presence of a Quorum 4. Report and/or Explanation on the Proposed transaction: (a) transfer of the concrete aggregates business to a wholly-owned subsidiary; (b) amendment of the primary purpose of CA to that of a holding company; and (c) amendment of the corporate name. 5. Approval and Ratification of the resolutions of the Board of Directors on the aforementioned proposed transaction 6. Adjournment Stockholders of record as of September 8, 1998 are entitled to notice of, and to vote at, said meeting.
