January 28, 2000 PSE CIRCULAR FOR BROKERS NO. 210-00 SUBJECT : Queenbee Resources Corporation Queenbee Resources Corporation ("JFCW") furnished the Exchange a copy of its SEC Form 34-C (Preliminary Information Statement) in connection with its Special Warrantholders' Meeting which will be held on February 28, 2000, at 11:00 a.m., at the Kalayaan Hall, Club Filipino, Greenhills, San Juan, Metro Manila. The agenda for the meeting shall be as follows: 1. Call to Order; 2. Certification by the Corporate Secretary on the sending of notices and existence of a quorum; 3. To obtain the approval of the required number of Warrant Holders for the amendment of Condition 9 (iii) of the warrant instrument allowing Queenbee Resources to purchase Jollibee shares and/or warrants and/or both Jollibee shares and warrants to utilize the same in the distribution of dividends to warrant holders. 4. Transaction of such other matters as may properly come before the meeting; and 5. Adjournment. Warrantholders of record as of January 26, 2000 are entitled to notice of, and to vote at, said meeting. Warrantholders who will not be able to attend the meeting may designate their respective proxies and send their proxy forms to the Office of the Corporate Secretary on or before February 18, 2000.
