(the "Corporation") approved a resolution authorizing the Corporation to purchase or acquire its own shares into treasury in accordance with the long-term plan to accumulate sufficient shares from the market for future use or disposal to employees and investors as and when the opportunity arises, the acquisition or purchase to be affected at such aggregate not exceeding the unrestricted retained earnings of the Corporation as of December 31, 1997.
