Grace De Guia Assistant Manager Disclosure Department Gentlemen : Please be informed that the Board of Directors of the Bank of the Philippine Islands (BPI) at a special board meeting held this afternoon (August 4, 1999) approved the proposal to pursue a merger with Ayala Insurance Holdings Corporation (AIH), subject to approval by the Monetary Board. Upon approval by the Bangko Sentral ng Pilipinas, the proposed merger will be presented to the shareholders in a special meeting called for the purpose. cdlex AIH is a holding company through which Ayala Corporation owns majority stakes in Ayala Life Assurance, FGU Insurance and Universal Reinsurance Corporation.
