August 19, 1998 PSE CIRCULAR FOR BROKERS NO. 1930-98 SUBJECT : Ayala Land, Inc. Additional Listing The Exchange approved the listing application of AYALA LAND, INC . to list additional 1,450,208,144 common shares , with a par value of P1 . 00 per share , to cover the 20% stock dividend declaration to stockholders of record as of May 7, 1998 . However, actual listing of the 39,690,137 common shares , representing the 20% stock dividend of the Executive Stock Option Plan (ESOP) and Employee Stock Ownership Plan (ESOWN) shares subscribed since 1991, shall take effect upon full payment and listing of the ESOP and ESOWN shares. Furthermore, the Exchange approved the reduction of the Company's listed common shares by 14,500 common shares , which represent retired treasury shares.
