In accordance with the Revised Securities Act, the SEC Full Disclosure Rules and the Rules and Regulations of the Philippine Stock Exchange, please be informed that the Board of Directors of Zeus Holdings, Inc. (the "Corporation") postponed this year's annual stockholders' meeting from any day in June, as provided in the Corporation's by-laws, to any day in November through the approval of the following resolutions during the special meeting of the Board of Directors on July 30, 1999: RESOLVED, That the Board of Directors of Zeus Holdings, Inc. (the "Corporation") postpones, as it hereby does, the Corporation's annual stockholders' meeting this year from any day in June, as provided in the Corporation's by-laws, to any day in November 1999, considering that the Corporation had just conducted last year's annual stockholders' meeting on December 14, 1998.
