Grace B . De Guia Assistant Manager Disclosure Department Dear Ms. De Guia : We wish to advise the Exchange the EasyCall Communications Philippines, Inc. (EasyCall) has finalized and signed the documents related to the acquisition of INDEX 152, the paging/newspaging business of Multi-Media Telephony, Inc. (Multi-Media). The acquisition was finalized with the assistance of Unicapital Investment. EasyCall is taking over the subscriber base of INDEX 152 and INDEX's paging infrastructure/network. ECPI's investment in this acquisition transaction is P 30M which is approximately equivalent to INDEX's cash flows for about seven (7) months. The P 30 Million investment will be completely funded from EasyCall's internal funds. EasyCall will formally take over the paging operation of INDEX 152 starting August 1, 1999.
