February 23, 1998 PSE CIRCULAR FOR BROKERS NO. 182-98 SUBJECT : SEC-approval of Amendments to Articles of Incorporation San Jose Oil Company, Incorporated (SJO) informed the Exchange that the Securities and Exchange Commission (SEC) approved the following Amendments to its Articles of Incorporation: 1. Change of name from San Jose Oil Company, Incorporated to Fil-Estate Corporation; 2. Change of primary purpose from oil and exploration company to a holding firm; 3. Change in the par value of each share from P0.01 to P1.00; 4. Declassification of A and B shares; and 5. Change in the principal office from Mandaluyong to Metro Manila. Furthermore, the following arrangements have been made with Far East Bank and Trust Company (FEBTC), SJO's stock transfer agent, regarding the disposition of the stock certificates: dctai 1. FEBTC shall continue to honor and accept the certificates bearing the name of San Jose Oil Company, Incorporated (SJO). 2. The shares to be issued will remain at their old par value of P0.01 per share. 3. Upon delivery of the new stock certificates bearing Fil-Estate Corporation, all stock certificates bearing SJO shall be cancelled and their corresponding shares will be declassified and adjusted to its new par value. The changes in name, stock trading symbol to "FC", sector, par value and the declassification of shares of SJO will be reflected in the computer system of the Exchange (electronic board and ticker) on Wednesday, February 25, 1998 .
