Proof of the presence of a quorum; 2. Reading and approval of the minutes of previous Annual Stockholders' Meeting (May 21, 1999); 3. Acceptance of the resignation of Messrs. Jorge L. Araneta, Victor R. Kalaw and Rinfredo B. dela Cruz as Directors of the Corporation; 4. Election of Messrs. Teofilo R. Asuncion, Jr., Philip E. Juico and Armando T.
