De Guia Assistant Manager Disclosure Department Dear Ms. De Guia, Please be advised that Easycall Communications Philippines, Inc. has acquired and is taking over the Outsourcing Call Center Division of SIEMENS INCORPORATED. Agreements for the acquisition was finalized this morning. This division of SIEMENS is currently servicing and processing all of the centralized call-in delivery transactions of WENDY'S (WENPHIL., INC.) branches/outlets. EasyCall investment in this transaction is Pesos Two Million (P2.0M) and is fully sourced from internal funds. LibLex This move is in line with EasyCall's thrust and direction to be a complete messaging/message handling company. Transfer of SIEMENS' Call Center to EasyCall premises is expected to be completed by August 2, 1999. The EasyCall Call Center will then directly receive and process the 24-hour call-in delivery transactions of WENDY's'.
