July 20, 1998 PSE CIRCULAR FOR BROKERS NO. 1669-98 SUBJECT : F & J Prince Holdings Corporation Additional Listing The Exchange approved on July 8, 1998, the listing application of F & J PRINCE HOLDINGS CORPORATION to list additional 284,826,183 common shares , consisting of 173,509,113 Class "A" shares and 111,317,070 Class "B" shares , with a par value of P1 . 00 per share , to partially cover the share for share swap agreements with Essential Holdings Ltd . , Consolidated Tobacco Industries of the Philippines, Inc . , Center Industrial and Investment, Inc . , Vructi Holdings Corporation, and Mr . Johnson Tan Gui Yee in exchange for 3,789,603 no-par shares of Magellan Capital Holdings Corporation with an aggregate issue value of P415,226,550.00. These shares shall come from the Company's increase in authorized capital stock from P100 million to P1 billion approved by the Securities and Exchange Commission on July 28, 1997. cdt In view thereof, the listing of the 284,826,183 common shares is set for Tuesday, July 28, 1998 .
