Election of Mr. Carlos T. Lu as director vice Mr. Godofredo R. Galindez, Jr. who retired effective January 24, 2000. 2. Stock rights offering of approximately P2.5 Billion worth of shares, the terms and conditions of which shall be determined by Management as authorized by the Board of Directors.
