June 30, 1999 PSE CIRCULAR FOR BROKERS NO. 1571-99 SUBJECT : Interport Resources Corporation Interport Resources Corporation ("IRC") informed the Exchange that its Board of Directors, in a meeting held on June 29, 1999, resolved to move the company's annual stockholders' meeting to September 14, 1999 . The By-Laws of IRC provides that the annual stockholders' meeting be held on the second Tuesday of July (July 13 for the current year). At present, however, the company anticipates a delay in the preparation of the Information Statement, a preliminary copy of which is supposed to be submitted to and approved by the Securities and Exchange Commission (SEC) and disseminated among the stockholders prior to the meeting, pursuant to Rule 34 (c) of the Revised Securities Act and Rule 34 (c) and (e) of the SEC Full Disclosure Rules. Due to lack of material time within which to comply with the foregoing rules and in order to ensure the accuracy and completeness of the Information Statement, the company deem it best to move the said meeting to September 14, 1999. LLjur Furthermore, a number of corporate officers may not be in the country at the time of the meeting, including the President, who is required under the by-laws to preside at the meeting, and also the Chief Financial Officer of the company. The record date, which shall not be more than sixty (60) days before the meeting, the venue, the date and place of the validation of proxies, and other matters related to the meeting shall be announced later.
