June 29, 1999 PSE CIRCULAR FOR BROKERS NO. 1546-99 SUBJECT : Easycall Communications Phils . , Inc . EasyCall Communications Phils. Inc. ("ECP") clarified to the Exchange a news article entitled "EasyCall firms up merger deals with two paging companies" published in the June 28, 1999 issue of the Philippine Star. The article reported that ECP is set to formally ink early next month a merger deal with Multi-Media Telephony Inc. (MMTI), operator of Index, even as the firm is about to wrap up acquisition of Recall Telecom System Inc. LLjur In its letter, ECP stated that: " . . . EasyCall Communications Philippines, Inc. (ECPI) and MMTI are yet to finalize the details of the acquisition. Due diligence is still currently being undertaken. Documents finalizing the negotiations have yet to be signed, although we expect this to be completed within the next few weeks. After all the details have been finalized and agreements formally signed, we shall make the required disclosure to your office. With regard to FCPI's reported acquisition of Rocall Telecom System, Inc., we would like to advise you that this is incorrect and that there are no ongoing talks and/or negotiations with the same company. . . ." cdt For your information.
