(hereinafter "EGRHI") attended by a majority of the members of the Board of Directors, held this noon, July 6, 1998 at the Ever Gotesco Corporate Center, 1958 C. M. Recto, Avenue, Manila, the following matters were taken up and approved: In view of the fact that the audit of the Corporation being undertaken by the external auditor Sycip Gorres Velayo & Co. had not yet been finished as of this date, which is needed in the preparation of the annual report, the Board of Directors unanimously approved the proposal of Management to cancel the Annual Stockholders' Meeting scheduled on the last Friday of August 1998 to November 27, 1998. cdlex Very truly yours, (SGD.)
