June 23, 1999 PSE CIRCULAR FOR BROKERS NO. 1477-99 Philippine Stock Exchange PSE, Center, Exchange Road Ortigas Center, Pasig City Attention: Ms . Grace B . de Guia Assistant Manager Gentlemen : Please be informed that at the annual stockholders' meeting held today, 22 June 1999, the stockholders of the Corporation unanimously approved the following: (i) the spin-off of the Electronic Manufacturing Services (EMS) division into a wholly-owned subsidiary by transferring Substantially all the assets and liabilities associated with said division in exchange for shares of stock of the subsidiary for the purpose of undertaking a public offering and listing of the shares of said subsidiary on the Stock Exchange of Singapore; LLjur (ii) the amendment of the principal purpose of the Corporation as stated in Article III of the Articles of Incorporation from manufacturing to that of a holding company; and (iii) the election of the following members of the Board of Directors to serve as such for the ensuing year and until their successors shall have been elected and shall have qualified.
