Stock Exchange Centre, Exchange Road, Ortigas Center Pasig City, Metro Manila Attention: Disclosure Department Listings and Disclosure Group SUBJECT : Central Azucarera De La Carlota Gentlemen : Please be informed that the Board of Directors of Central Azucarera de la Carlota, in its meeting held today, approved resolutions a) authorizing the Company to undertake a quasi financial reorganization plan to eliminate a deficit at the recently concluded crop-year 1998-1999; b) authorizing the Company to increase its Authorized Capital Stock from P200M to P400M consisting of 400M shares with par value of One Peso (P1.00) per share; c) authorizing the Company to issue new shares and a plan to convert P400M cash advances from its sister Company, Central Azucarera Don Pedro, into equity; and d) fixing the date of its annual meeting of shareholders to 28 July 1999. aisadc Very truly yours, (SGD.)
