Item 9(a)(1)(A) The Board of Directors of Megaworld Properties & Holdings, Inc. ("Megaworld") approved, today, the following changes in the Articles of Incorporation of Megaworld: 1. change of corporate name from Megaworld Properties & Holdings, Inc. to Megaworld Corporation; 2. change of primary corporate purpose to allow the conversion of Megaworld into a holding company; 3. changes in the secondary corporate purposes to allow Megaworld to engage in the businesses of hotel, leisure, resort, and gaming; trading of goods and merchandise; information technology; and real estate development, marketing, and management. The foregoing amendments are designed to allow Megaworld to diversify its investments, including investments in the highly promising information technology and gaming sectors, thus cushioning Megaworld from any downturn in any specific industry or sector. Said amendments will be submitted to Megaworld's stockholders for approval during the Annual Meeting of Stockholders on June 18, 1999, the time of which will be moved from 1:00 in the afternoon to 8:30 in the morning.
