June 8, 1998 PSE CIRCULAR FOR BROKERS NO. 1273-98 SUBJECT : Marsman & Company, Inc . Further to Circular No. 1206-98 pertaining to the elected members of the Board of Directors of Marsman & Company, Inc. ("MAR") during its Annual Stockholders Meeting held on May 29, 1998, MAR informed the Exchange, in a letter dated June 5, 1998, that upon verification of the directors' qualifications, it was discovered that Mr. Jose R. Perez, who owns twelve (12) shares of MAR, is not a shareholder of record of the corporation. Pursuant to Section 23 of the Corporation Code which requires a director to own at least one (1) share of stock standing in his name in the books of the corporation of which he is a director, Mr. Jose R. Perez failed to qualify as a Director. Accordingly, only the following are the elected and qualified Directors of MAR: 1. Michael C. Davis 2. Joven D. Reyes 3. Kasigod V. Jamias 4. Paul Kleiner 5.
