Amendment of Article VII of Articles of Incorporation amending the terms governing the issuance of preferred shares. 2. Amendments Nos. 1 and 2 were likewise approved by the owner of at least 2/3 of the issued and outstanding capital stock of the corporation in a Stockholders' Meeting held after the said Board of Directors' Meeting.
