June 1, 1998 PSE CIRCULAR FOR BROKERS NO. 1192-98 SUBJECT : Bacnotan Consolidated Industries, Inc . Further to Circular No. 1136-98 dated May 26, 1998 pertaining to Bacnotan Consolidated Industries, Inc.'s ("BCI") corporate restructuring, BCI informed the Exchange, in a letter dated May 28, 1998, of the number of its shareholdings in the three companies, to be transferred to the subsidiary to be incorporated, particularly as follows: Bacnotan Cement Corporation ("BCC") 158,447,510 shares Hi-Cement Corporation ("HCC") 63,012,000 shares Davao Union Cement Corporation ("DUC") 644,805,442 shares The number of Atlas Cement Corporation's shares in HCC to be transferred to the new subsidiary is 398,193,308. Furthermore, the wholly-owned subsidiary to be incorporated will have the same primary purpose clause as in the Articles of Incorporation of BCI. For your information. (SGD.) REYNOLD P.
