De Guia Asst. Manager Gentlemen : In addition to the disclosure we faxed to you on January 18, 2000 regarding South Seas Natural Resources, Inc. (SSO), we would like to add that at its organizational meeting, the Board of directors, pursuant to the authority delegated to the stockholders representing at least 2/3 of the issued capital share, adopted a new Code of By-laws for SSO. prcd Among other things, the new Code of By-laws re-defined the functions of some of the officers, provided for the creation of an Executive Committee, and changed the fiscal year to end on December 31 of each year. The new Code of By-laws will take effect only upon approval by the Securities and Exchanged Commission.
