Phone 527-8051 to 60 Fax 527-2467 Pages This page only Date 24 May 1999 Subject As Stated Please be advised that during our Company's Special Stockholders' Meeting held today at about 2:00 p.m., stockholders representing at least two-thirds (2/3) of the outstanding capital stock approved the amendment of Article 6 of the Articles of Incorporation and Article IV Section 2 of the By-laws of the Corporation for the purpose of increasing the number of directors from nine (9) to ten (10). The shareholders elected Colin J. Childs to fill up the Board seat resulting from the increase in the number of directors. The shareholders also elected Ramon R. Atayde and Arturo P.
