May 24, 1999 PSE CIRCULAR FOR BROKERS NO. 1174-99 SUBJECT : Ionics Circuits, Inc . Ionics Circuits, Inc. ("ION") furnished a copy of its SEC Form 34-C (Definitive Information Statement), including its 1998 Annual Report, in connection with its Annual Stockholders' Meeting which will be held on June 22, 1999 at 3:00 p.m. at the Sta. Elena Golf Club, Cabuyao, Laguna. The Agenda for the meeting shall be as follows: 1. Reading of the minutes of the previous meeting of the shareholders; 2. Report of Management for the fiscal year 1998; 3. Ratification of the acts, proceedings and resolutions of the Board of Directors and Officers of the Corporation from the date of the last annual shareholder's meeting to the present; 4. Approval of the spin-off of the Electronic Manufacturing Services (EMS) division into a wholly-owned subsidiary by transferring substantially all the assets and liabilities associated with said division in exchange for shares of stock of the subsidiary for the purpose of undertaking a public offering and listing of the shares of said subsidiary on the Stock Exchange of Singapore; cdlex 5. Amendment of the principal purpose of the Corporation as stated in Article III of the Articles of Incorporation from manufacturing to that of a holding company; 6. Election of Directors; 7.
