May 21, 1999 PSE CIRCULAR FOR BROKERS NO. 1156-99 SUBJECT : Ebecom, Holdings, Inc . Ebecom Holdings, Inc. ("EBE") informed the Exchange that the Securities and Exchange Commission approved on May 13, 1999 the amendments to the company's By-Laws which consist of the following: 1. Article VI, Section 2; Article XVII, Section 2 change in the schedule of annual meeting of stockholders and organizational meeting of the Board of Directors from the last Monday of May to the last Wednesday of June each year; 2. Article VII recognition of the positions and. functions of a Chairman and a Vice Chairman of the Board; and 3. Article VIII, Section 1; Article XVII, Section 6 designation of the Chairman as presiding officer at all meetings of stockholders and the Board of Directors. For your information. (SGD.) RAFAEL L.
